End-User License Agreement

This End-User License Agreement (“Agreement”) is a legal agreement between you and Pacific Coast Automation, Inc. (“PCA”, “we”, “us”, or “our”), located at 513 Glass Lane, Suite 1B, Modesto, CA 95356, governing your use of PCA’s proprietary software applications, tools, and integrations (collectively, the “Applications”).

1. Acceptance of Terms

By accessing or using any PCA Application, you agree to be bound by this Agreement. If you do not agree, do not use the Applications. Access to PCA’s Applications is limited to authorized personnel, contractors, and clients of Pacific Coast Automation, Inc.

2. License Grant

PCA grants you a limited, non-exclusive, non-transferable, revocable license to use the Applications solely for purposes authorized by PCA in connection with legitimate business operations. This license does not include any right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Applications or any component thereof.

3. Restrictions

You agree not to:

  • Use the Applications for any purpose not expressly authorized by PCA
  • Share access credentials with unauthorized individuals
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from the Applications
  • Use the Applications in any manner that violates applicable federal, state, or local law or regulation
  • Access or attempt to access data, systems, or accounts belonging to any party other than as authorized by PCA
  • Interfere with or disrupt the integrity or performance of the Applications or connected third-party services

4. Third-Party Integrations

PCA’s Applications may integrate with third-party platforms and services, including but not limited to accounting software, ERP systems, financial platforms, and cloud-based business tools. Your use of any third-party service is governed separately by that provider’s terms of service and end-user license agreements. PCA is not responsible for the availability, accuracy, security, or performance of third-party services. It is your responsibility to comply with all applicable third-party terms when using PCA Applications that connect to those services.

5. Data and Confidentiality

PCA’s Applications may access, process, or transmit business data including financial records, operational data, and proprietary business information. All such data is confidential and proprietary. You agree to maintain strict confidentiality and not to disclose any data accessed through PCA’s Applications to unauthorized parties.

6. Intellectual Property

The Applications and all related technology, code, designs, and content are the exclusive property of Pacific Coast Automation, Inc. or its licensors. Nothing in this Agreement transfers any ownership rights to you. All rights not expressly granted are reserved by PCA.

7. Disclaimer of Warranties

THE APPLICATIONS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PCA DOES NOT WARRANT THAT THE APPLICATIONS WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM SECURITY VULNERABILITIES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PCA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATIONS, EVEN IF PCA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL PCA’S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO PCA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

This Agreement is effective until terminated. PCA may terminate your access to any Application at any time, with or without notice, for any reason including breach of this Agreement. Upon termination, you must immediately cease all use of the affected Application. Sections 5, 6, 7, 8, and 10 shall survive termination.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Stanislaus County, California, and you consent to personal jurisdiction in those courts.

11. Changes to This Agreement

PCA reserves the right to modify this Agreement at any time at its sole discretion. We will update the “Last Updated” date at the top of this page when changes are made. Continued use of any PCA Application following the posting of changes constitutes your acceptance of the revised Agreement.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and PCA with respect to the subject matter herein and supersedes all prior or contemporaneous understandings, communications, or agreements, whether written or oral, relating to the Applications.
